Terms Of Service

Scope and Audience

BCI operates as a business-to-business (B2B) company. The Site and any products or services referenced herein are intended solely for commercial, industrial, or research use by organizations or professionals. BCI does not sell to or enter contracts with consumers as defined under any applicable consumer protection laws. Any offer from a consumer is expressly rejected.

Orders, Offers, and Contract Formation

• All BCI product and service offers are non-binding until confirmed in writing.
• A contract is formed only upon (i) written acceptance of a formal quotation by the customer, or (ii) the execution of a purchase order confirmed by BCI.
• Modifications or cancellations of orders must be agreed upon in writing.
• BCI reserves the right to refuse or cancel any order at its discretion.

Pricing and Payment Terms

• All prices are exclusive of taxes, duties, shipping, and handling fees unless otherwise specified.
• Prices are stated in Singapore Dollars (SGD) or another agreed currency.
• Payment is due upon invoicing or prior to shipment, unless otherwise agreed.
• Late payments may incur interest at 1.5% per month, or the maximum rate allowed by law.
• BCI reserves the right to withhold shipments or terminate the agreement if payment is not received in full or on time.

Delivery, Risk, and Shipping

• Unless otherwise agreed in writing, all domestic deliveries within Singapore shall be made on a Delivered Duty Paid (DDP) basis, and all international deliveries shall be made on an Ex Works (EXW) basis from BCI’s designated facility.
• Delivery dates are estimates only and may be impacted by unforeseen events.
• BCI is not liable for delays due to force majeure (e.g., natural disasters, pandemics, supplier disruptions).

Product Use and Warranty

Permitted Use:

• BCI’s products are for laboratory, research-use and commercial setting and are not intended for use in humans, animals, or diagnostics, unless explicitly approved in writing.
• Products must be used by qualified personnel in controlled environments.

Warranty:

• BCI warrants that products will conform to specifications at the time of delivery.
• Warranty period is 90 days from the date of delivery unless stated otherwise.
• BCI’s sole obligation under warranty is to replace or refund non-conforming products.
• This warranty does not cover misuse, improper storage, or application beyond intended use.

Disclaimer:

• No warranties are made regarding merchantability, fitness for a particular purpose, or non-infringement.
• Products are experimental in nature and may be subject to rapid degradation or variability.

Intellectual Property and Licensing

• All content on the Site (logos, product names, texts, visuals, and technical data) is the property of BCI or its licensors and is protected under international IP laws.
• Use of BCI’s products, services, or documentation does not grant any license to underlying patents or know-how unless explicitly agreed in writing.
• Reverse engineering, reproduction, or resale of any BCI product is strictly prohibited unless authorized.
• Sample products provided free of charge are for internal evaluation only and may not be resold, distributed, or used commercially.

Data Privacy and Protection

• BCI complies with the General Data Protection Regulation (GDPR) and Singapore’s Personal Data Protection Act (PDPA).
• Personal data collected via the site (e.g., contact forms, analytics) is processed according to our privacy policy.
• Users have rights under GDPR/PDPA to access, correct, or delete their personal data.

Limitation of Liability

To the extent permitted by law:

• BCI’s liability is limited to the purchase price of the affected product or service.
• BCI shall not be liable for indirect, incidental, or consequential damages, including loss of profits or business interruption.
• No liability is accepted for improper use or handling of the products.

Confidentiality

• Any confidential or proprietary information shared between parties shall remain confidential for five (5) years from the date of disclosure.
• Each party agrees not to disclose such information to third parties without prior written consent, except as required by law.

Compliance and Export Control

• Users agree to comply with all export control laws and regulations, including those of Singapore and international jurisdictions.
• Products and technical information may not be used for nuclear, chemical, biological, or military applications, or exported to embargoed regions or restricted entities.

Modifications and Termination

• BCI may update these Terms at any time. Changes become effective when posted on the site.
• BCI reserves the right to restrict access to the site or services at its discretion, with or without notice, for violations of these Terms.

Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Singapore, excluding conflict of laws principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.
